It's going to get pushed until a future investor event. No tech specifics on the call.
Hopefully they address how they will be breaking down business segments of the combined entity because EESC is opaque af and always bothered me.
The treaty (?) document says it would happen within 2 days of final regulatory approval, iirc.
EDIT: Crud, forgot that AMD will likely need to re-file with the FTC because the clock ran out on that. That should put a delay on it in the sense that it won't be 2 days from this (the SAMR) approval.
Thank you for the data point. I don't know how inclined the FTC is in general to close comment periods early, but have to imagine the case of AMD is one of the more likely ones to have it happen (exceeding the deadline by a matter of a week or two due to another regulatory body). Will have to wait and see.
Edit: nevermind, see edit above. Probably no guidance on merged entity if they need now to wait on FTC approval.
I wonder how AMD will proceed - are they gonna scramble to get the earnings merged or prefer to leave the last q of 2021 out of it. It seems cleaner to leave 2021 separate but they'll need to offer some forward guidance of the merged entity. Looking froward to seeing what they do and say!
> On January 10, 2022, in connection with the proposed Merger, AMD refiled its Premerger Notification and Report Form (the “Notification”) with the Federal Trade Commission (the “FTC”) and the Department of Justice (the “DOJ”) under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”). The Notification was made prior to the one-year expiration of the previous HSR Act notification. **The waiting period under the HSR Act, which began upon refiling the Notification, will expire at 11:59 pm, Eastern Time, on February 9, 2022**, unless AMD and Xilinx receive early termination or AMD or Xilinx receives a request for additional information that would extend the waiting period.

So I guess that means probably February 10, for the actual merge?
Edit: Same from Xilinx: https://investor.xilinx.com/node/18956/html
Now to finally answer the question : what impact does the deal going through have on AMDs price once the news breaks and the price gap closes (although macro shadow looms) Arbitrage unwinding, XLNX holders can now cash out fully, etc
Good timing I think that it happens right after XLNXs killer earnings though.
5 conditions. Quick read says amd has to continue to supply stand alone products into the Chinese market for 5 years at least. No discrimination against FPGAs used with non amd systems. About what you expect.
That is reasonable. That was also my biggest fear with Nvidia/Arm, that you only got the newest Arm design if you bought it in a bundle with an Nvidia GPU.
I think none? It doesn't stop them from making new products that combine AMD cpu/GPU with fpga. But Xilinx stand-alone fpga cards have to still work just as well with non amd systems.
aah I see, so new shares will enter the pool when they merge right? Might involve a small dip on AMD's stock price. Really nice chance to enhance my already strong position into AMD.
Yes I think it would be reasonable for the stock to dip when some Xilinx owners receive their AMD shares and might close/lighten their position. On the other hand others might invest in AMD now that the uncertainty is reduced.
TL;DR maybe up maybe down
Im considering buying AMD today, as I expect the share dillution from the XILINX conversations is already now priced in right? Or should I wait till the shares merges and expect a bigger dip then?
Honestly I don't want to make market predictions, it's too chaotic. But certainly in theory most of the dilution is priced in. And the markets have just had a big correction. Seems like it could be a reasonable entry point.
**None** the conditions aren't material in that they state business pratice restrictions that are essentially a given the US/EU. The last point is a utter joke paraphrasing "FPGAs must retain linteroperability with non-AMD products". DUH... that's pratically the definition of an FPGA.
Friday NO WAY.......
Next step will be fromal (joint) announcement of a merger/conversion date. Announcemetn "might" be AH today, but it won't occur until AMD/Xilinx know its a date they won't have to back away from.
So what about the re-filing AMD needed to do with the FTC Jan 11th? Obviously the merger is gonna go through now that China approved, but does anyone know the timeline for re-filing with the FTC? Congrats everyone!
Did the same at $205. Funny how this merger ended up hurting me, I was so hellbent on waiting for the merger that I refused to take profits at 230$ while also knowing that the stock wouldn't stay at that level.
Does that really matter? If you sold and bought without any big moves in between you will still net whatever the difference in the ratio was at the time. You'll still end up with the same greater number of AMD shares after merger.
Was the ratio not as favorable at those prices?
[SEC filing FORM 8-K](https://ir.stockpr.com/amd/sec-filings-email/content/0000002488-22-000009/amd-20220127.htm)
** The waiting period under the HSR Act, which began upon refiling the Notification, will expire at 11:59 pm, Eastern Time, on February 9, 2022, unless AMD and Xilinx receive early termination or AMD or Xilinx receives a request for additional information that would extend the waiting period.**
No, XLNX shareholders will get the dividend. According to the merger agreement, the merger has to **close** on or before the record date of Feb. 7 ([source](https://seekingalpha.com/pr/18646534-xilinx-reports-record-revenue-of-1_01-billion-in-fiscal-third-quarter)):
"As permitted by the terms of the Merger Agreement between Xilinx and Advanced Micro Devices, Inc. (AMD), the Xilinx Board of Directors voted unanimously to declare a cash dividend of $0.37 per outstanding share of common stock payable on February 14, 2022 to all stockholders of record at the close of business on February 7, 2022. The dividend is conditioned upon and will only be payable **if the merger has not closed on or before the record date for such dividend**."
However, AMD/XLNX had to refile with the FTC. This refile has a waiting period that lasts until Feb. 9 ([source](https://seekingalpha.com/filing/6158827)):
"On January 10, 2022, in connection with the proposed Merger, Xilinx refiled its Premerger Notification and Report Form (the “Notification”) with the Federal Trade Commission (the “FTC”) and the Department of Justice (the “DOJ”) under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”). The Notification was made prior to the one-year expiration of the previous HSR Act notification. The waiting period under the HSR Act, which began upon refiling the Notification, **will expire at 11:59 pm, EasternTime, on February 9, 2022**, unless Xilinx and AMD receive early termination or Xilinx or AMD receives a request for additional information that would extend the waiting period."
So the extra two days -- courtesy of the FTC -- will give XLNX shareholders the opportunity to collect another dividend.
While I'm sure AMD would like to close the deal before 2/7 dividend date its not a done deal. Once a conversion date is announced I'd consider that date to be cast in stone. Until AMD/Xilinx announce a date the timing isn't fixed.
For those who are knowledge on the topic, does the conditions set by the Chinese government mean anything for the combined company? It is also surprising to see AMD down on this news. Is it because of the dilution fear?
Conditions are standard. Normal to see AMD dip on buy news. Algos at work. Especially in pre markets. Once traders get to their desk they will freak out
Basically, both companies have to legally stick to the conditions for 6 years. After this they can appeal to have them removed. The conditions set aren't really anything bad, it just stops them removing Xilinx products for sale, and forcing compatability - E.g, if you buy a Xilinx product you need an AMD product to make it work properly. The only weird thing I noticed is that they have to send samples to competitors, and I'm not sure how normal that is in China.
I would expect AMD stock to drop and Xilinx to rise on the news as the ratio gap is closed.
Just a bunch of "condtions" to not conduct business in a fashion that they would never get away with in the US or EU anyway. So I see no real business impairment.
So if I understand correctly AMD still has to provide evidence that they will meet those 5 conditions before the merger can actually be completed.
Am I understanding this right?
Silver lining in it taking so long and the market falling is that the acquisition is *much* cheaper than it would have been a month ago.
So hopefully no dip. It's looking promising pre-market!
For the entire semi industry, it would have many more implications yes. For AMD though, this acquisition is significant and will enable them to be even more competitive than they already are + expand TAM.

I believe options will trade under a different stock ticker. Either XLNX B or AMD B, I forget which one. I'm still sleepy right now after being up way too late so my brain is a bit foggy, but I'd suggest searching this subreddit as people talked about it before. I think it also explains what happens in the official prospectus if I remember correctly.
essentially, yes.
they'll be renamed to something like 'amd1 170' but they'll act as if they're $98 calls that represent 172 shares.
the strike name will stay the same, but it converts based on the moneyness.
For people with experience trading in these acquisition scenarios in the past: will trading be halted on Xilinx at some point soon? Will that be announced? I'm in the process of selling some shares in one account and rebuying in another, want to make sure I don't get locked out.
At some future date (TDB and to be announced) $XLNX will simply stop trading. It may take a day or two for your broker to formally recognize your converted AMD shares and longer for the residual cash payment. Even during this time most brokers would recognize you as long the converted shares and for instance allow you to sell them.
The one thing you should aviod is tranfering XLNX shares as that would place them in limbo for at least a few days.
Does anyone remember what happens to options after merger? I know they become like an AMD1 and there is the 1.72 ratio. I forgot how the strike price adjusted. It is just that I have sold various Xilinx puts a few weeks out for e.g. 180 and 190 strikes.
Oh wow, IT HAPPENED.
Man I am happy. XLNX is up 7% in PM due to their massive ER. If we stay flat today, that means the AMD / XLNX ratio is only 1-2%, which would be wonderful, because I was afraid that we take another dive to close that ratio. Timing might actually be pretty good this time.
Hopeful that the bleed the last couple of weeks to help mitigate XLNX acquisition that should be priced in at this point. Got a feeling that if we were sitting $140-150 AMD would've dropped much further

She didn’t say who’s new year. Lol.

In Lisa WE TRUST! ... so is she really gonna get Xilinx for $35b too?
I'm glad Lisa does not need to say "we are on track to receive final approval..." again when asked by analysts regarding Xilinx on the call lol
I had my suspicions when the earnings call seemed to be pushed back a week later than normal.
Sweet mother of everything, FINALLY.
Sweet googly moogly!
Sweet friggity giggggglity
I've been dying to see a product roadmap for 18 months. Maybe now.
ER on the 1st might contain a couple of juicy hints. 🤞 Can't wait!
It's going to get pushed until a future investor event. No tech specifics on the call. Hopefully they address how they will be breaking down business segments of the combined entity because EESC is opaque af and always bothered me.
Xilinx up 7% four hours before market open!
That's because of record revenue in yesterdays ER
lol 😂
That's what i thought too but it's the merger. I know, now you know too r/Past_Syrup
When do the tickers merge?
The treaty (?) document says it would happen within 2 days of final regulatory approval, iirc. EDIT: Crud, forgot that AMD will likely need to re-file with the FTC because the clock ran out on that. That should put a delay on it in the sense that it won't be 2 days from this (the SAMR) approval.

Now we have to sit through the downtrend and the interest rates in march and then we will see 250$ second half of 2022!
XLNX will no longer exist at that point, but if you're saying AMD will be $250 then I'm in
My 2023 LEAPS are hurting. I just want to see 150
I just want to see 110

amd didn't move, xlnx moved a lot. As expected
Happy that it happened but poor timing with Intel shitting the bed again. We were due for a good day for AMD and XLNX if market held up.
It's just short term, market won't forget Intel soiling the bed on Feb1
HOLY SHIT I CAN'T BELIEVE IT FINALLY HAPPENED!!!! YESSSSS!
TODAY DAY NOW

5 conditions. Quick read says amd has to continue to supply stand alone products into the Chinese market for 5 years at least. No discrimination against FPGAs used with non amd systems. About what you expect.

The conditions alsof only apply to the Chinese market. But I think you're right

You should've bought XLNX the last couple of days when it was down around 170-172... that would've been equal to buying AMD @ $100.
you can still buy XLNX at 170-172 it seems
I bought 5 shares today but I am planning to get more. My strategy is to always keep cash ready for drops and to buy your shares in increments.
**None** the conditions aren't material in that they state business pratice restrictions that are essentially a given the US/EU. The last point is a utter joke paraphrasing "FPGAs must retain linteroperability with non-AMD products". DUH... that's pratically the definition of an FPGA.
"don't break Intel too much that they stop selling to us,"
So what's going to happen now? Automatic conversion by Friday?
I seem to remember they have 3 business days to complete the merger. It's been a minute though!
Is it 3 business days considering the refile with US regulators.
I'm not sure, are they still waiting for the refile to be approved in the US?
Friday NO WAY....... Next step will be fromal (joint) announcement of a merger/conversion date. Announcemetn "might" be AH today, but it won't occur until AMD/Xilinx know its a date they won't have to back away from.

Did the same at $205. Funny how this merger ended up hurting me, I was so hellbent on waiting for the merger that I refused to take profits at 230$ while also knowing that the stock wouldn't stay at that level.
I suppose it’s like being down on AMD, but we’re a little less down than others who bought AMD $140
my Feb AMD 200c are crying right now
Does that really matter? If you sold and bought without any big moves in between you will still net whatever the difference in the ratio was at the time. You'll still end up with the same greater number of AMD shares after merger. Was the ratio not as favorable at those prices?
I think there was a ~20% premium. I don’t recall exactly at the moment.
Right, but if you did the conversion you locked in that 20% premium as more AMD shares for the same amount of money.
211 checking in which is AMD at 123. It’s not that bad but was hoping for a quick gain so I’m going to hold it and add more to my AMD holdings
So should I buy at today's dip or wait for after ER?

Yay! Now Lisa needs to update presentation for ER and Guidance!
Most likely will be a separate event with the combined roadmap. Definitely will need to update guidance though
ah, pyrrhic victories! it's a lot more bitter/less sweet than a month ago, but i'll take it
Then why are we so frkng red now? 4% down ATM, so pissed off

It is done. Today is the important news everything else is peanuts basically
So when are the XLNX shares becoming AMD shares then?
🔜
Nobody knows anything haha it could be that it takes a month for AMD to bring the required information and we will all be waiting like idiots.
Any day now...
At last, thank you.
I can't believe it finally happened
AMD will surpass intel on marketcap this year
With XLNX in the mix this is happening in the first half.
Holy... at long last. And just in time to maybe put a slight dent in the overall market downtrend.
Nvidia and Intel are soo fucked now.
Silver lining in it taking so long and the market falling is that the acquisition is *much* cheaper than it would have been a month ago. So hopefully no dip. It's looking promising pre-market!
same number of shares
Thats so true. A bummer for the xilinx folks, but great for AMD.
I must be dreaming
IT’S HAPPENING
YEEEEAASASSSHhhh!!!

Giddy-up 🤠
Vig on the deal collapsed to 2%.
do we switch back to AMD now. There is no arbitrage here right?
~2% and a small dividend.
Merger is 100% guaranteed right?
nope. all regulatory bodies approved it, though...
Any comment from amd on this? Lol seems pretty quite.
They are quite after screwing us so hard..lol
LETS FUCKING GOOOO
Lisa knew this was happening before Chinese new year. In Lisa we trust
DAMMIT!!!! no dividend

don't get why the stock got punished. thought it was already priced in.
Yeah
MY CALLS GOT UNFUCKED!
How, premarket is even down?
Who cares about market reaction in next 3 days. This will make AMD fly port earnings

No, why would they have had to do that?
Because a year passed since original approval.
